A meeting adjourned for want of quorum can be reconvened, and Civil Code § 5115(d) lets the second one proceed on 39 votes where the first needed 98. Both are shown because the difference is the whole point.

Adjourned for want of quorum. The ballots were not opened; they carry forward to the reconvened meeting on Thursday, October 15, 2026, and the sitting directors remain in place until then.

What happened

The September 17 meeting did not reach quorum: 49 ballots were returned against the 98 the Bylaws require, so the ballots were not opened. The meeting was adjourned to Thursday, October 15, 2026 at 5:00 PM, by Zoom, where Civil Code § 5115(d) sets quorum at 20% of the members — 39 — and the ballots already returned carry forward. A ballot not yet returned can still reach the Inspector before that meeting begins. The written notice § 5115(d)(3) requires, due no less than 15 days before the reconvened meeting, has not reached us yet. No vote count will appear here until ballots are opened and the Inspector reports one.

The notice states the seat terms as three directors for two years and two for one; no seat on a three-year term. That is not the stagger Bylaws Art. IV § 6 fixes — see the comparison.

These are dated observations, not terms of service. The corpus holds appointment dates from minutes, officer names from Statements of Information, and ballot slates from notices — points, not spans. Two of them already disagree: a May 2024 filing names Greg Atherton as chief executive, and the minutes record the board appointing him a director on 26 June 2025. Drawing a continuous bar per director would paper over exactly that, so this draws what the documents actually say.
